AutoSonix Terms and Services

Welcome to AutoSonix LLC (“AutoSonix,” “we,” “us,” or “our”). By accessing or using our services, applications, and devices (collectively, the “Services”), you (“Customer,” “User,” or “you”) agree to the following Terms and Services. Please read carefully. If you do not agree, you must stop using our Services immediately.

1. Definitions

  • Services: The AutoSonix cloud platform, mobile and desktop applications, firmware, edge-computing modules (including embedded AI models), and related support services.
  • Customer Data: All data, content, and information uploaded to or generated through the Services, including sensor data, audio recordings, diagnostic results, and metadata.
  • Authorized User: An employee, contractor, or agent authorized to access and use the Services.
  • Order Form: The ordering document detailing subscription terms, pricing, and scope of Services.

2. License & Access

  • We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business purposes in automotive diagnostics, inspections, or remarketing workflows.
  • Restrictions: You may not (i) reverse engineer or attempt to derive source code, (ii) modify or create derivative works, (iii) resell, sublicense, or distribute Services, (iv) bypass security or unauthorized access, or (v) use Services in high-risk applications (e.g., safety-critical systems).

3. Fees & Payment

  • Fees are specified in your invoice.
  • Payments are due net 15 days unless otherwise stated.
  • Late payments may accrue interest (1.5% monthly).
  • Fees are exclusive of applicable taxes, which you are responsible for.
  • AutoSonix may adjust fees with 30 days’ notice after the Initial Term.

4. Ownership of Data

  • All data, content, and information collected, uploaded, transmitted, or generated through the Services — including but not limited to sensor data, audio recordings, diagnostic results, metadata, and derived information (“Collected Data”) — is and shall remain the sole and exclusive property of AutoSonix.
  • You acknowledge and agree that you have no ownership rights in Collected Data. AutoSonix may use, process, analyze, copy, distribute, and commercialize Collected Data without restriction or compensation to you.

5. Disclaimer of Liability

  • Except in cases of AutoSonix’s proven, intentional misconduct:
  • AutoSonix shall not be liable for any damages, losses, errors, delays, interruptions, or failures related to the Services.
  • You assume full responsibility for your use of the Services and any reliance on results, diagnostics, or data outputs.
  • AutoSonix makes no warranties, express or implied, regarding accuracy, reliability, or suitability of the Services.
  • This disclaimer applies regardless of the theory of liability, including contract, tort, or statutory claims.

6. Limitation of Liability

  • To the maximum extent permitted by law:
  • AutoSonix shall have no liability whatsoever for indirect, incidental, consequential, punitive, or special damages.
  • In no event shall AutoSonix’s aggregate liability exceed $0, unless such liability arises solely from AutoSonix’s purposeful and intentional misconduc

7. Indemnification

  • You agree to indemnify and hold harmless AutoSonix, its officers, directors, employees, and affiliates against all claims, liabilities, damages, and expenses arising out of:
  • Your use or misuse of the Services;
  • Any reliance on Collected Data;
  • Your violation of these Terms or applicable laws.

8. Governing Law

  • These Terms are governed by the laws of the Commonwealth of Pennsylvania. Venue lies exclusively in Lehigh County, Pennsylvania.

9. Entire Agreement

  • These Terms supersede all prior agreements regarding the Services. AutoSonix may update these Terms at any time; continued use constitutes acceptance.

10. Data Collection & Privacy

  • By using the Services, you consent to AutoSonix’s collection and use of data in accordance with our Privacy Policy. Data may include personal information, usage statistics, device data, and vehicle diagnostics.
  • We may also use anonymized, aggregated data to improve and market our Services, but this will not identify you or your customer

11. Customer Obligations

  • Compliance with all applicable laws (including data privacy and telematics regulations).
  • Obtaining necessary consents from vehicle owners or data subjects.
  • Maintaining confidentiality of account credentials.
  • Not transmitting malware, benchmarking without permission, or misusing Services.

12. Confidentiality

  • • Both parties agree to protect each other’s non-public information with reasonable care and only use it for the purposes of this Agreement. Exceptions include information that is public, independently developed, or disclosed under legal obligation.

13. Disclaimers & Warranties

  • AutoSonix warrants Services will materially conform to Documentation.
  • Except as expressly stated, Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Termination

  • Either party may terminate for cause upon material breach (with notice) or insolvency.
  • AutoSonix may suspend or terminate your access if you violate these Terms.
  • Upon termination, licenses cease and Customer Data may be deleted after a 30-day retrieval period.

15. General Provisions

  • Independent Contractors: No partnership or agency relationship is created.
  • Force Majeure: Neither party is liable for events beyond reasonable control.
  • Amendments: AutoSonix may update these Terms at any time; continued use indicates acceptance.
  • Entire Agreement: These Terms supersede all prior agreements related to the Service
